Terms of Service

1. Acceptance of Terms
These Terms of Service (“Terms”) govern your access to and use of Mamla.Guru (https://mamla.guru), operated by Xyra Systems (BD) (“we”, “us”, or “our”). By creating an account, registering a law firm, or otherwise using the Service, you agree to be bound by these Terms and our Privacy Policy.
If you are accepting these Terms on behalf of a law firm or other organisation, you represent that you have the authority to bind that entity to these Terms.
2. Description of Service
Mamla.Guru is a cloud-based legal case management platform designed for law firms and registered advocates in Bangladesh. The Service includes, but is not limited to:
- Case lifecycle management, including court proceedings, activities, documents, and evidence
- Client, lawyer, and judge records management
- AI-assisted legal drafting and OCR text extraction
- Billing and client invoice management
- Calendar and scheduling tools, with optional Google Calendar integration
- Subscription and plan management
- BD law library and court proceedings reference tools
We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.
3. Registration and Accounts
To use the Service, you must register a firm account. You agree to:
- Provide accurate and complete registration information
- Keep your login credentials confidential and not share them with unauthorised persons
- Notify us immediately of any unauthorised access to your account at support@mamla.guru
- Accept responsibility for all activity that occurs under your account
Each login account is licensed to a single individual. Sharing login credentials between multiple persons is not permitted and may result in account suspension. Firms requiring more simultaneous users must upgrade to a plan with a higher login limit.
4. Subscription Plans and Billing
Mamla.Guru offers multiple subscription tiers (Free, Solo, Team, Firm) with varying features, login limits, disk storage, and AI credit allocations. The following billing terms apply:
- Subscription Fees: Monthly subscription fees are denominated in Bangladeshi Taka (BDT) and are inclusive of 15% VAT as required by the National Board of Revenue (NBR).
- AI Credits: AI credits for drafting, OCR, and other AI features are charged at per-word or per-page rates as displayed on the pricing page. Credits are deducted from the firm's top-up balance.
- Payment Methods: Payments are processed exclusively through SSL Wireless / PayStation (supporting bKash, Nagad, and debit/credit cards). We do not accept Stripe, PayPal, or international payment gateways.
- Auto-Renewal: Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date.
- Refunds: Unused subscription periods are non-refundable except as required by applicable law. Top-up balances for AI credits are non-refundable once applied.
- Plan Changes: Upgrades take effect immediately. Downgrades take effect at the next billing cycle.
5. Acceptable Use
You agree not to use the Service to:
- Upload or transmit unlawful, fraudulent, or defamatory content
- Attempt to gain unauthorised access to other firms' data or the platform's systems
- Reverse engineer, decompile, or attempt to extract the source code of the Service
- Use the Service to store or transmit malware or other malicious code
- Circumvent subscription limits (e.g., sharing login credentials)
- Use automated scripts or bots to scrape data from the platform
- Violate any applicable laws of the People's Republic of Bangladesh
We reserve the right to suspend or terminate access for violations of this Acceptable Use policy without refund.
6. Data Ownership
You retain full ownership of all case data, client records, documents, and other content that your firm uploads or creates within the Service (“Firm Data”). We do not claim ownership of Firm Data.
You grant us a limited, non-exclusive licence to store, process, and transmit Firm Data solely as necessary to provide the Service, including processing by AI providers where you use AI features.
On termination of your account, you may request an export of your Firm Data in the formats available within the platform. After the 12-month retention period described in our Privacy Policy, all Firm Data is permanently deleted.
7. Google Calendar Integration
Mamla.Guru's optional Google Calendar integration allows you to sync case-related calendar events to your personal Google Calendar. By connecting your Google account, you:
- Authorise us to create, update, and delete calendar events on your connected Google Calendar on your behalf, limited to events created by Mamla.Guru
- Acknowledge that event data (titles, dates, case references) will be transmitted to Google's servers and governed by Google's Terms of Service and Privacy Policy
- Understand that you may disconnect Google Calendar at any time from your calendar settings, which will revoke our access token
We do not read, import, or store your existing Google Calendar events. Our access scope is limited to events we create.
8. Intellectual Property
The Mamla.Guru platform, including its software, design, AI models, brand marks, and all content not constituting Firm Data, is the exclusive intellectual property of Xyra Systems (BD). Nothing in these Terms grants you ownership or licence to the platform beyond the right to use the Service as described herein.
9. Service Availability and Disclaimer
We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. Scheduled maintenance will be communicated with advance notice where possible.
The Service is provided “as is” and “as available” without warranties of any kind, express or implied. AI-generated content (drafts, OCR output, legal suggestions) is provided for assistance only and does not constitute legal advice. You remain solely responsible for verifying the accuracy of any AI-generated content before use.
10. Limitation of Liability
To the maximum extent permitted by the laws of Bangladesh, Xyra Systems (BD) shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, loss of revenue, or business interruption, arising from your use of or inability to use the Service.
Our total aggregate liability for any claim arising from these Terms or your use of the Service shall not exceed the total subscription fees paid by you in the 3 months immediately preceding the claim.
11. Termination
You may terminate your account at any time by contacting us at support@mamla.guru. Upon termination, your access to the Service will be suspended and Firm Data will be retained for 12 months as described in our Privacy Policy before permanent deletion.
We may suspend or terminate your account if you violate these Terms, fail to pay subscription fees after reasonable notice, or if we are required to do so by applicable law.
12. Governing Law and Disputes
These Terms are governed by and construed in accordance with the laws of the People's Republic of Bangladesh. Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the competent courts in Dhaka, Bangladesh.
13. Changes to These Terms
We may revise these Terms from time to time. Material changes will be communicated via email or a notice within the platform at least 14 days before taking effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
